1.Scope and definitions
This Cancellation Policy applies to your Vukorix subscription with Osmicro Networks Pty Ltd (ACN 642 841 638 / ABN 70 642 841 638) (Vukorix, we, our, or us). It supplements, and should be read together with, our Terms of Service and our Refund Policy. Where this policy and the Terms of Service conflict, the Terms of Service prevail.
In this policy, Account, Customer Content, Free Trial, Service, and Subscription have the meanings given in the Terms of Service.
2.How to cancel
You can cancel your Subscription in any of the following ways:
- Inside the app: sign in to app.vukorix.com, go to Settings → Billing, and click Cancel subscription. Cancellation is confirmed on screen and by email.
- By email: send a cancellation request from the email address registered on your Account to [email protected]. Please include your organisation name and the email address of the Account owner. We will action the request within one business day and confirm by email.
Only the organisation Owner (or a delegated Admin with billing access) can cancel a Subscription. Members and Recipients cannot cancel an organisation's Subscription on its behalf.
3.When cancellation takes effect
Vukorix subscriptions are billed monthly in advance. When you cancel:
- Your Subscription remains active until the end of the current paid billing month.
- You keep full access to the Service, your Customer Content, and team-member seats until that date.
- You will not be billed for any future period.
- You will not receive a partial refund for the unused portion of the month, except where required by law (see section 12) or where the cancellation arises from a fault on our side (see our Refund Policy).
Example: if your billing month runs from the 14th of one month to the 13th of the next, and you cancel on the 20th, your Subscription will continue until the 13th of the following month and then end automatically.
4.Free Trial cancellation
Every new Account begins with a 7-day Free Trial of the Vukorix Standard plan. At sign-up we capture USD $1.00 from the payment method you provide and refund it to the same card automatically as a card-validity check (typically within a few hours; up to 5–10 business days depending on your bank). You may cancel the Free Trial at any time before it ends in the same ways described in section 2, and no subscription charge will be made — only the original $1 verification (already refunded) will appear on your statement.
If you do not subscribe before the Free Trial ends, your Account will be downgraded to a read-only state. You may export your Customer Content during the period described in section 5; after that period, encrypted file payloads will be permanently deleted in accordance with the retention schedule in our Privacy Policy.
5.Your data after cancellation
5.1 Export window
For thirty (30) days after the effective cancellation date, your Account is preserved in a read-only state so you can:
- sign in and download your Customer Content,
- export contact lists, audit-trail metadata, and signed-document audit certificates,
- request that we transfer specific data to you on reasonable terms.
During this 30-day window you cannot create new shares, requests, exchanges, or signatures. The Service is read-only.
5.2 Permanent deletion
After the 30-day export window, encrypted file payloads associated with your Account are permanently deleted from our production systems. Audit-trail metadata necessary for compliance and dispute resolution may be retained for the period described in section 9 of our Privacy Policy.
5.3 Backups
Encrypted backups are overwritten on a rotating schedule (typically within thirty-five (35) days). After that window passes, backup copies of your data are also gone.
5.4 Early deletion on request
If you would prefer your Customer Content be deleted immediately on cancellation rather than after the 30-day export window, you can request this in writing to [email protected]. We will action the request within five (5) business days and confirm in writing.
6.Active shares, exchanges, and signatures
When your Subscription ends:
- Secure Send links remain accessible to recipients until their configured expiry or view limit, then are permanently deleted as normal.
- Secure Receive portals stop accepting new uploads at the end of your paid period; recipients see a friendly message indicating the portal is no longer active.
- Secure Exchange sessions stop accepting new activity at the end of your paid period. Existing content remains accessible to participants until expiry.
- Pending e-signature requests may not be completed by signers after your paid period ends. We recommend completing or cancelling pending signature requests before you cancel.
- Audit-trail metadata for completed signatures is retained per section 9 of the Privacy Policy and you can download signed-document audit certificates during the 30-day export window.
If you need a particular share, exchange, or signature to remain active beyond your cancellation date, contact [email protected] before you cancel and we will work with you in good faith.
7.Reactivation
If you reactivate your Account within the 30-day export window, your Subscription resumes at the same plan and price, and your Customer Content is restored to read-write state without loss.
If you reactivate after the 30-day window has closed, you can sign up again under the same email address but Customer Content from the previous Subscription will not be recoverable. The plan and price will be whatever is current at the date of reactivation.
8.Beta features
Some Vukorix features are made available as Beta (currently including Secure Rooms). Beta features may be added, changed, or withdrawn at any time without notice, including before your Subscription ends. Withdrawal of a Beta feature does not by itself give you the right to cancel your paid Subscription with a refund; cancellation of any paid Subscription is governed by section 3 above.
9.Suspension by us
We may suspend (temporarily disable) access to your Account, in whole or in part, if:
- a payment fails and is not corrected after we notify you,
- we reasonably believe your Account is being used to breach our Acceptable Use rules,
- we reasonably believe an Account has been compromised and continued access poses a security risk to you or other customers,
- we are required to do so by law, by a court order, or by a lawful regulatory request.
Suspension is normally a short-term measure and we will tell you why in writing. We will lift the suspension as soon as the cause is resolved. Where a suspension lasts more than fourteen (14) days, you may treat it as a termination by us under section 10.
10.Termination by us
We may terminate your Subscription, with or without notice, if:
- you materially breach the Terms of Service and have not corrected the breach within fourteen (14) days of notice from us (or immediately, if the breach is incapable of being corrected);
- we are required to terminate by law, court order, or lawful regulatory request;
- continued provision of the Service to you poses an unmanageable risk to the security, integrity, or lawful operation of the Service;
- we discontinue the Service generally or in your country, in which case we will give you reasonable advance notice (normally at least thirty (30) days) and a pro-rata refund for any unused paid period.
11.Effect on team-member seats
Your Vukorix Subscription includes three (3) team-member seats. You may add additional seats at USD $2.99 per seat per month and you may remove seats at any time. Removing a seat:
- takes effect immediately for the affected team member — they lose access to the Account when removed;
- reduces your billable seat count from the next billing cycle (we do not pro-rata mid-cycle);
- does not delete the team member's audit-trail history, which is retained per the Privacy Policy.
If you cancel the Subscription itself, all team-member seats end together with the Subscription; no team member retains independent access.
12.Statutory consumer rights
This policy does not exclude, restrict, or modify any consumer guarantee, right, or remedy conferred by law that cannot be excluded, restricted, or modified by agreement, including:
- the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)),
- statutory rights in the European Economic Area and the United Kingdom (including the right of withdrawal under the EU Consumer Rights Directive, as transposed into your local law, where applicable),
- the United States Federal Trade Commission's "click-to-cancel" rule and equivalent state laws (where applicable),
- any equivalent non-excludable consumer protection laws in your jurisdiction.
Where you have a statutory right to cancel that overrides this policy, you keep that right.
13.Refunds
Cancellation does not, of itself, entitle you to a refund. Refund eligibility is governed by our Refund Policy, which sets out the limited circumstances in which a refund is offered and the statutory rights that apply regardless.
14.Changes to this policy
We may update this Cancellation Policy from time to time. When we make a material change we will update the "Last updated" date above and, if you have an Account with us, notify you by email or through a notice in the Service before the change takes effect. Changes do not apply retrospectively to cancellations already in progress.
